3. Eligibility and User Obligations
3.1 Eligibility

5. User-Generated Content and Submissions
If you submit, upload, post, or transmit any information, data, feedback, suggestions, proposals, project requirements, or other materials to Sheth Con Limited through our website, contact forms, email, or any other communication channel, you grant us an irrevocable, perpetual, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with providing, maintaining, and improving our services. - Fees for services are quoted in Canadian Dollars unless otherwise indicated
- Invoices are issued according to the schedule defined in the applicable service agreement
- Payment is due within thirty calendar days from the invoice date unless otherwise specified
- Late payments may incur interest at a rate of one and one-half percent per month or the maximum rate permitted by law
- All fees are exclusive of applicable taxes, which shall be paid by the client
- Sheth Con Limited reserves the right to suspend or terminate services for non-payment
- Any expenses incurred in the collection of outstanding amounts shall be the responsibility of the client
8. Confidentiality
During the course of our engagement, Sheth Con Limited and our clients may exchange confidential and proprietary information, including but not limited to business strategies, technical specifications, system architectures, trade secrets, financial data, customer lists, and project plans. Both parties agree to treat all such information as confidential and to use it solely for the purpose of performing obligations under the applicable services agreement. Confidential information shall not be disclosed to any third party without the disclosing party's prior written consent, except as required by law or legal process.
Confidentiality obligations shall survive the termination of any services agreement and shall remain in effect for a period of five years from the date of disclosure, or indefinitely in the case of trade secrets. These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was independently developed without reference to the confidential information, or was rightfully obtained from a third party without restriction.
9. Limitation of Liability

Such service level commitments shall apply solely to the services covered by that agreement and shall not extend to our website or any services provided outside the scope of a formal managed services engagement.
Sheth Con Limited will use commercially reasonable efforts to maintain the availability and performance of our website and communication channels. However, we do not guarantee uninterrupted or error-free operation of our website and are not liable for any unavailability caused by circumstances beyond our reasonable control, including but not limited to telecommunications failures, internet infrastructure disruptions, force majeure events, or scheduled maintenance activities.

In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and the time for performance shall be extended accordingly.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service.
16.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs of arbitration, and the parties shall share equally the fees and expenses of the arbitrator.
16.3 Waiver of Class Action
You agree that any claims or proceedings brought against Sheth Con Limited shall be brought solely on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action.
