All services are delivered pursuant to a separate written agreement, statement of work, or service contract executed between Sheth Con Limited and the client. The availability, scope, and pricing of services are subject to change at any time without prior notice. Sheth Con Limited makes no representation that our services are appropriate or available for use in all jurisdictions.

3. Eligibility and User Obligations

3.1 Eligibility

By using our website or services, you represent and warrant that you are at least eighteen years of age or the age of majority in your jurisdiction, whichever is higher. You further represent that you have the legal capacity and authority to enter into a binding agreement and that your use of our services does not violate any applicable law, regulation, or contractual obligation. The Sheth Con name, the Sheth Con Limited mark, the domain name shethcon.buzz, and all related logos, product names, service names, designs, and slogans are trademarks of Sheth Con Limited or its affiliates.

4.2 License to Use the Website

Sheth Con Limited grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our website and its content solely for your personal or internal business purposes in connection with evaluating or engaging our services. 4.3 Client Deliverables

With respect to custom systems designs, architectures, and deliverables created specifically for a client under a separate services agreement, intellectual property rights shall be governed by the terms of that separate agreement. In the absence of an explicit written agreement regarding ownership of deliverables, Sheth Con Limited retains all intellectual property rights in its methodologies, tools, frameworks, pre-existing materials, and general know-how, while granting the client a perpetual, non-exclusive license to use the specific deliverables for the client's internal business operations.

5. User-Generated Content and Submissions

If you submit, upload, post, or transmit any information, data, feedback, suggestions, proposals, project requirements, or other materials to Sheth Con Limited through our website, contact forms, email, or any other communication channel, you grant us an irrevocable, perpetual, worldwide, royalty-free, fully paid-up license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with providing, maintaining, and improving our services. You represent and warrant that you own or have the necessary rights and permissions to grant this license and that your submissions do not infringe upon the rights of any third party.

7. Payment Terms

Payment terms for our computer systems design and integration services are governed by the individual service agreements, statements of work, or engagement letters executed between Sheth Con Limited and our clients. Unless otherwise specified in a written agreement, the following general payment terms apply:

• Fees for services are quoted in Canadian Dollars unless otherwise indicated
• Invoices are issued according to the schedule defined in the applicable service agreement
• Payment is due within thirty calendar days from the invoice date unless otherwise specified
• Late payments may incur interest at a rate of one and one-half percent per month or the maximum rate permitted by law
• All fees are exclusive of applicable taxes, which shall be paid by the client
• Sheth Con Limited reserves the right to suspend or terminate services for non-payment
• Any expenses incurred in the collection of outstanding amounts shall be the responsibility of the client

8. Confidentiality

During the course of our engagement, Sheth Con Limited and our clients may exchange confidential and proprietary information, including but not limited to business strategies, technical specifications, system architectures, trade secrets, financial data, customer lists, and project plans. Both parties agree to treat all such information as confidential and to use it solely for the purpose of performing obligations under the applicable services agreement. Confidential information shall not be disclosed to any third party without the disclosing party's prior written consent, except as required by law or legal process.

Confidentiality obligations shall survive the termination of any services agreement and shall remain in effect for a period of five years from the date of disclosure, or indefinitely in the case of trade secrets. These obligations do not apply to information that is or becomes publicly available through no fault of the receiving party, was independently developed without reference to the confidential information, or was rightfully obtained from a third party without restriction.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Sheth Con Limited, its directors, officers, employees, agents, affiliates, and subcontractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of goodwill, business interruption, system failure, or cost of substitute services, arising out of or in connection with your use of or inability to use our website or services, regardless of the theory of liability, whether in contract, tort including negligence, strict liability, or otherwise, even if advised of the possibility of such damages.

In no event shall the aggregate liability of Sheth Con Limited for any claims arising out of or relating to these Terms of Service or our services exceed the total amount paid by you to Sheth Con Limited during the twelve-month period immediately preceding the event giving rise to the claim, or one thousand Canadian Dollars if no fees were paid. The limitations set forth in this section shall apply even if the remedies provided for in these Terms of Service fail of their essential purpose. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the above exclusions and limitations may not apply to you.

10. Disclaimer of Warranties

Sheth Con Limited provides our website and services on an as-is and as-available basis without any warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, we expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, Sheth Con Limited does not warrant that our website or services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components; that any defects or errors will be corrected; or that the results obtained from the use of our website or services will be accurate, reliable, or meet your requirements. 11. Indemnification

Termination does not relieve you of any payment obligations accrued prior to the effective date of termination.

For clients who have entered into a managed services agreement with Sheth Con Limited, specific service level commitments, including uptime guarantees, response times, resolution targets, and escalation procedures, will be defined in the applicable service agreement or statement of work. Such service level commitments shall apply solely to the services covered by that agreement and shall not extend to our website or any services provided outside the scope of a formal managed services engagement.

Sheth Con Limited will use commercially reasonable efforts to maintain the availability and performance of our website and communication channels. However, we do not guarantee uninterrupted or error-free operation of our website and are not liable for any unavailability caused by circumstances beyond our reasonable control, including but not limited to telecommunications failures, internet infrastructure disruptions, force majeure events, or scheduled maintenance activities.

15. Force Majeure

Sheth Con Limited shall not be liable for any failure or delay in the performance of its obligations under these Terms of Service or any services agreement where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God; natural disasters; pandemics or epidemics; war, terrorism, or civil unrest; governmental actions, orders, or regulations; labor disputes or strikes; utility or telecommunications failures; internet infrastructure disruptions; embargoes; or any other event not within the reasonable control of Sheth Con Limited. In such circumstances, our obligations shall be suspended for the duration of the force majeure event, and the time for performance shall be extended accordingly.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them, their subject matter, or their formation shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms of Service.

16.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms of Service, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiations between the parties. If the dispute cannot be resolved through negotiation within thirty calendar days, either party may refer the matter to binding arbitration in accordance with the Arbitration Act of Ontario. The arbitration shall be conducted in Toronto, Ontario, Canada, by a single arbitrator mutually agreed upon by the parties. The decision of the arbitrator shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own costs of arbitration, and the parties shall share equally the fees and expenses of the arbitrator.

16.3 Waiver of Class Action

You agree that any claims or proceedings brought against Sheth Con Limited shall be brought solely on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. You waive any right to a jury trial in connection with any claim arising out of or relating to these Terms of Service.

17. Electronic Communications

When you visit our website, submit a contact form, or send emails to Sheth Con Limited, you are communicating with us electronically. You consent to receive communications from us electronically, including email messages and notices posted on our website. 18.3 Waiver

No waiver by Sheth Con Limited of any term or condition set forth in these Terms of Service shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by Sheth Con Limited to assert a right or provision under these Terms of Service shall not constitute a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer any of your rights or obligations under these Terms of Service without the prior written consent of Sheth Con Limited. Sheth Con Limited may assign or transfer its rights and obligations under these Terms of Service at any time without restriction, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

18.5 Relationship of the Parties

Nothing in these Terms of Service shall be construed to create a partnership, joint venture, agency, employment, or franchise relationship between you and Sheth Con Limited. Neither party has any right or authority to bind the other party or to incur any obligation on the other party's behalf.
